Terms of Service

1. Agreement to Terms

By accessing or using KodiSawa at kodisawa.co.ke ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

KodiSawa is a rent tracking and property management platform designed for Kenyan landlords and property managers. These terms govern your use of all features including property management, tenant tracking, invoicing, payment reconciliation, and reporting.

2. Account Registration

To use KodiSawa, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account

You may create workspaces and invite team members (caretakers, property managers) with different access levels. You are responsible for the actions of users you invite to your workspace.

3. Service Description

KodiSawa provides tools to:

• Manage rental properties and units
• Track tenant information and lease agreements
• Generate and manage invoices
• Record and reconcile payments from M-Pesa, bank transfers, cash, and cheques
• Import bank statements and M-Pesa transaction data
• Track property expenses and maintenance costs
• Generate reports for tax filing (KRA-compliant)

4. Subscription and Billing

Pricing

KodiSawa uses usage-based pricing. Current rates are displayed on our pricing page. We reserve the right to change pricing with 30 days notice.

Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial. You may cancel at any time during the trial without charge.

Payment

Subscription payments are processed by Stripe in Kenyan Shillings (KES). By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, based on your selection).

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial billing periods
• Your data remains accessible in read-only mode for 30 days after cancellation

5. Your Data and Responsibilities

Data Ownership

You retain ownership of all data you enter into KodiSawa, including property information, tenant records, and financial data. We do not claim any ownership rights over your content.

Data Accuracy

You are solely responsible for:

• The accuracy of property, tenant, and financial information you enter
• Verifying all invoices, payments, and reports before use
• Maintaining proper backup records for tax and legal purposes
• Ensuring compliance with Kenyan tax laws and KRA requirements

Tenant Data

When you store tenant information (including National ID numbers, phone numbers, and email addresses), you must:

• Have proper consent to collect and store this information
• Use the data only for legitimate property management purposes
• Protect tenant privacy and not share data inappropriately

6. Acceptable Use

You agree NOT to use KodiSawa to:

• Generate fraudulent invoices or financial records
• Evade taxes or create false reports for KRA submission
• Store or process information for illegal activities
• Harass, abuse, or harm tenants or other users
• Violate any applicable Kenyan laws or regulations
• Attempt to access other users' workspaces or data
• Reverse engineer, decompile, or attempt to extract source code
• Use automated scripts or bots to access the Service
• Overload or disrupt the Service infrastructure

7. Financial Reports Disclaimer

Important: KodiSawa provides tools to generate financial reports, including reports formatted for KRA submission. However:

• All reports are generated based on data you enter
• We do not guarantee the accuracy or completeness of any report
• You are responsible for verifying all financial information before submission to KRA or any other authority
• KodiSawa is not a substitute for professional accounting or tax advice
• We recommend consulting with a qualified accountant for tax matters

8. M-Pesa and Bank Integration

KodiSawa allows you to import transaction data from M-Pesa and bank statements. By using these features, you acknowledge that:

• You are authorized to access and import the transaction data
• Transaction matching and reconciliation are based on algorithms that may require manual verification
• We are not responsible for errors in imported data or automatic matching
• You should always verify reconciled payments before marking them as confirmed

9. Intellectual Property

KodiSawa, including its logo, design, features, and code, is owned by us and protected by intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service
• Use our branding or trademarks without permission
• Remove any copyright or proprietary notices

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Experience unexpected downtime due to technical issues
• Modify, suspend, or discontinue features with reasonable notice

We recommend maintaining your own backups of critical data.

11. Limitation of Liability

To the maximum extent permitted by Kenyan law:

• KodiSawa is provided "as is" without warranties of any kind
• We do not guarantee that the Service will meet your specific requirements
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for losses arising from data you enter, reports you generate, or decisions you make based on the Service

12. Indemnification

You agree to indemnify and hold harmless KodiSawa and its operators from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Inaccurate data or reports you create or submit

13. Termination

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse the Service or other users

Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

14. Dispute Resolution

These Terms are governed by the laws of Kenya. Any disputes arising from these Terms or your use of KodiSawa shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, mediation in Nairobi, Kenya
3. If mediation fails, the courts of Kenya shall have exclusive jurisdiction

15. Changes to Terms

We may update these Terms from time to time. When we make material changes:

• We will post the updated Terms on this page
• We will update the "Last updated" date
• We will notify you via email for significant changes
• Continued use after changes constitutes acceptance
